We are looking to hire a highly qualified Senior Legal Counsel to join our legal team at MOBH Holding Group
Knowledge & Skills:
The candidate must be having 5-10 years of top-tier law firm experience in capital markets and/or corporate legal department corporate finance, corporate governance knowledge of financial market laws and regulations and market trends, Knowledge of financial analysis for fund movements along with Investment.
Key Responsibilities:
• Drafting and negotiating contracts, primarily on the revenue side of the business for the Business Services business unit.
• This role will work closely with and support multiple members of the Legal team.
• Providing legal advice to clients in tax matters, including capital financings.
• Handling corporate mergers and real estate investment activities.
• Conducting research on financing and capital markets transactions.
• Extending support in corporate finance transactions and private equity fund formation.
• Reviewing financial documents and conducting investigations on unsecured borrowing.
• Providing support on asset-backed by giving necessary legal advice.
• Preparing repurchase borrowing arrangements and loan transaction activities.
• Overseeing mortgage loan activities and preparing the necessary legal documents.
• Handling unsecured borrowing transaction activities and assisting in solving credit issues.
• Preparing investment agreements and solving financial activities.
• Assisting in drafting contracts and Sales purchase agreements.
• Conduct due diligence review on the issuer of the securities, draft the prospectus and other disclosure documents describing the issuer and its securities to the potential investors, negotiate agreements between the issuer and its advisers, and navigate the transaction through regulatory hurdles.
• Dealing with various financial institutions across the world. covering Geo Treasury Operations.
Qualifications:
• Master’s degree from a well-reputed university is required.
• Licensed to practice law in the United States or Europe.
• Excellent verbal and written communication skills.
• Native English speaker, additional languages are a plus
